These Terms & Conditions ("Terms") govern your use of the Platypass website, applications, and related services (the "Service"), provided by Platypass ("Platypass", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Who You Are Contracting With
The Service is provided by Platypass. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you are using the Service as an individual, you represent that you are of legal age in your jurisdiction.
2. Acceptance of Terms
By creating an account, claiming a business, subscribing to a paid plan, or otherwise using the Service, you accept these Terms. Continued use of the Service after changes to these Terms constitutes acceptance of those changes.
3. Description of the Service
Platypass is a local discovery platform that helps users find positive-only businesses, events, and experiences in their area, and allows business owners to claim and manage their listings, including via paid subscription plans.
4. Acceptable Use
You agree not to misuse the Service, including by:
- Using the Service for any unlawful, fraudulent, or deceptive purpose;
- Posting spam, harassing content, hate speech, or content that infringes the rights of others;
- Infringing intellectual property rights, including by uploading copyrighted material you do not have rights to;
- Interfering with the security or integrity of the Service, including by introducing malware, probing, scanning, or scraping;
- Reverse engineering, decompiling, or attempting to extract source code from the Service;
- Reselling or redistributing the Service without our express written consent;
- Circumventing any technical limits, rate limits, or access controls.
5. Account Credentials
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date.
6. User Content
You retain ownership of content you submit to the Service (including reviews, photos, business descriptions, and event details). By submitting content, you grant Platypass a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that content solely for the purpose of operating and promoting the Service.
7. Intellectual Property
Platypass and its licensors retain all right, title, and interest in and to the Service, including all software, documentation, branding, and content we provide. You receive a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your selected plan.
8. Payments, Subscriptions, and Billing
Paid subscriptions and one-time purchases are processed by our online reseller, Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

9. Service Level
We work hard to keep the Service available and reliable, but we do not guarantee that the Service will be uninterrupted, error-free, or free from security vulnerabilities. The Service is provided "as is" and "as available", and to the fullest extent permitted by law we disclaim all implied warranties, including warranties of merchantability and fitness for a particular purpose.
10. Suspension and Termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts due, present a security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time.
11. Limitation of Liability
To the fullest extent permitted by law, Platypass's aggregate liability arising out of or relating to these Terms or the Service is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence where such limitation is not permitted by law.
12. Indemnification
You agree to indemnify and hold Platypass harmless from any claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Delaware.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after changes take effect constitutes acceptance.
